Terms and conditions

Rebate advances, purchases of energy efficiency incentives, loans, and other funding from Coral are governed by any separate written agreement you have signed with us (your "Agreement"). These Terms apply alongside your Agreement. If they conflict, your Agreement controls.

The Services are for businesses, such as HVAC and other contractors, operating in the United States. You must be at least 18 years old to use them.

You are responsible for keeping your login credentials secure, for the accuracy of your account information, and for all activity under your account, including activity by the users you invite to your organization. Tell us promptly at support@startcoral.com if you believe your account has been used without your permission.

You agree that the information, documents, and photos you submit through the Services, including project details, equipment information, invoices, and customer information, are accurate and complete to the best of your knowledge. You confirm that you have the rights and any customer consents needed to share them with us.

You permit us to use what you submit to provide the Services, including to determine eligibility, prepare and file rebate applications with rebate programs, utilities, and other payment authorities on your behalf, and communicate with them about your projects.

Any fees for the Services are set out in your Agreement or shown to you before you confirm a transaction.

Parts of the Services rely on third parties, such as payment processors used to connect and verify bank accounts, the software you connect to Coral, and providers that offer financing to your customers. Your use of those services is subject to their own terms, and we are not responsible for them.

You agree not to:

• Submit false, misleading, or duplicate information or documents, including to obtain a rebate or funding.
• Use the Services for any unlawful purpose.
• Access another organization's data, or share your login credentials with anyone outside your organization.
• Copy, scrape, reverse engineer, or interfere with the Services, or attempt to bypass their security.
• Upload malware or other harmful code.

Coral sends text messages to contractors who opt in.

• Messages we send. Coral texts contractors about their projects and account, including updates on rebate applications and payouts, requests for missing information or documents, and replies to support questions.
• Consent. We only text you after you opt in. Consent to receive text messages is not a condition of any purchase or of using Coral.
• Frequency. Message frequency varies with your project activity.
• Costs. Message and data rates may apply. Check your mobile plan for details.
• Opting out. Reply STOP to any message to stop receiving text messages from us.
• Help. Reply HELP to any message for help, or email support@startcoral.com.
• Carriers. Mobile carriers are not liable for delayed or undelivered messages.
• Privacy. We do not share mobile contact information with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy.

Our Privacy Policy describes how we collect, use, and share personal information.

Coral owns the Services, including their software, design, and content. We give you a limited, non-exclusive, non-transferable right to use the Services for your business while you comply with these Terms. If you send us feedback or suggestions, we may use them without any obligation to you.

We may suspend or end your access to the Services if you breach these Terms, if we suspect fraud, or if we are required to by law. You may stop using the Services at any time. Ending your access does not change obligations under your Agreement that continue after it ends, or any section of these Terms that by its nature should survive.

EXCEPT AS STATED IN YOUR AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

EXCEPT AS STATED IN YOUR AGREEMENT, AND TO THE FULLEST EXTENT PERMITTED BY LAW, CORAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AND $100.

You agree to indemnify and hold Coral harmless from claims, losses, and expenses, including reasonable attorneys' fees, arising from information or documents you submit, your breach of these Terms, or your violation of any law or the rights of any third party, including your customers.

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. Any dispute arising from these Terms will be resolved in the state or federal courts located in New York County, New York, unless your Agreement provides otherwise.

We may update these Terms from time to time. When we do, we will change the effective date above, and we will notify you of material changes. Continuing to use the Services after a change takes effect means you accept the updated Terms.
